Last Updated: October 8, 2026

1. INTRODUCTION AND DEFINITIONS

These Affiliate Program Terms and Conditions ("Affiliate Terms") govern your participation in the Hash Hedge Affiliate Program ("Program") operated under the Hash Hedge brand ("Hash Hedge", "we", "our" or "us"). Hash Hedge is used in these Affiliate Terms as the brand name for the Program and is not intended to identify a separate legal entity. The legal entity responsible for administering the Program and paying Commissions, together with the role of the Hash Hedge Platform Operator, is set out in Section 14.9 (Legal Information). References to the "Company" and the "Platform Operator" in these Affiliate Terms have the meanings given in Section 14.9.

By joining the Affiliate Program, you represent and warrant that you have read, understood, and agree to be bound by these Affiliate Terms in their entirety. You also acknowledge that any personal data you provide will be processed in accordance with our Privacy Policy.

If you do not agree to these Affiliate Terms, you must immediately cease all participation in the Program.

These Terms, including all provisions outlined herein, are valid and enforceable as of the date mentioned herein. By joining the Program, users confirm their agreement to the Affiliate Terms. The Company reserves the right to update this document in accordance with Section 2 of these Terms, and users are encouraged to review the most current version available on the Platform.

1.1. DEFINITIONS

For the purposes of these Terms, the following definitions apply. Capitalised terms not defined in these Affiliate Terms have the meanings given to them in the Terms and Conditions where the context so requires.

  • "Platform Operator": the legal entity identified in Section 14.9 that operates the Hash Hedge Platform and administers Challenge Plans, their applicable simulated Evaluation Stages, technical Platform access, and the User compliance framework under the Terms and Conditions.
  • "Add-On": any optional paid feature, upgrade, enhancement, protection, reset, additional functionality, or other ancillary service made available by the Platform Operator in connection with a Challenge or Account. An Add-On may be purchased either as part of an External Purchase or as an Internal Add-On Purchase, subject to the applicable terms, availability, and limitations of the relevant Challenge.
  • "Affiliate": An individual whose application to the Affiliate Program has been approved by the Company and who is authorized to promote the Platform under these Terms.
  • "Commission": any compensation payable to an Affiliate under Section 4 in respect of activity generated by Qualified Clients.
  • "Challenge Completion Event": has the meaning given to that term in the Terms and Conditions.
  • “Challenge Plan”: has the meaning given to that term in the Terms and Conditions.
  • “Challenge Plan Conditions”: has the meaning given to that term in the Terms and Conditions.
  • "External Purchase": a purchase attributable to a Qualified Client that is completed through the Platform's initial checkout or another purchase flow designated by the Platform Operator as an external purchase flow, including (i) the purchase of a Challenge and (ii) the purchase of any Add-On offered as part of, or in connection with, such checkout or external purchase flow.
  • "Internal Add-On Purchase": the purchase of an Add-On by a Qualified Client after the relevant Challenge has commenced and before a Challenge Completion Event, including through the User's Account on the website or another purchase flow outside the mobile application designated by the Platform Operator as an internal purchase flow.
  • "Engaged Affiliate / Sub-affiliate": A third-party individual introduced to the Program by an existing Affiliate and officially registered through the appropriate referral mechanism.
  • "Fraudulent Traffic": Any traffic or activity generated through deceptive, dishonest, manipulative, or otherwise non-compliant means, including but not limited to fake accounts, bot traffic, incentivized clicks, or misleading promotions. Without limitation, where, during any rolling sixty (60) day period and subject to a minimum sample of ten (10) referred Users, more than thirty percent (30%) of an Affiliate's referred Users have been determined by the Platform Operator, following compliance review under the Terms and Conditions, to be in breach of Section 4.5 of the Terms and Conditions, all traffic generated by such Affiliate during that period shall be deemed Fraudulent Traffic and shall constitute wilful misconduct on the part of the Affiliate. In such cases:
    • (a) no commission shall be payable in respect of any referred User in breach of Section 4.5 of the Terms and Conditions;
    • (b) the Affiliate's account shall be terminated with immediate effect under Section 8.3; and
    • (c) any other Affiliate account identified by the Company as being owned, operated, or controlled, directly or indirectly, by the same individual shall likewise be terminated.
    Without limitation, the following shall also constitute Fraudulent Traffic:
    • (a) referral of Users who are subsequently found to be Related Persons (as defined in the Terms and Conditions) of the Affiliate or of other referred Users, where the purpose or effect is to circumvent the Single Live Account Rule or the anti-hedging restrictions;
    • (b) referral of Users who engage in coordinated or cross-account Prohibited Hedging (as defined in Section 4.6 of the Terms and Conditions) with other Users referred by the same Affiliate or by other Affiliates acting in coordination with that Affiliate;
    • (c) referral of Users using synthetic, fabricated, stolen, or borrowed identities, or Users whose continued failure or refusal to complete enhanced identity Re-Verification under Section 6.5 of the Terms and Conditions has resulted in an Outcome A (Confirmed Breach) determination under Section 16.4(A) of the Terms and Conditions;
    Such traffic is strictly prohibited and will result in immediate disqualification from the Program.
  • "Net Eligible Revenue": the net revenue generated from an External Purchase made by a Qualified Client, based solely on the amount actually paid by the Qualified Client to the Platform Operator or its authorized payment processor through an accepted external payment method, after deduction of applicable chargebacks, refunds, and similar payment adjustments. Net Eligible Revenue may include both the applicable Challenge fee and the amount paid for an Add-On where such Add-On is purchased as an External Purchase. Any portion of a purchase satisfied through Cashback Balance shall not constitute Net Eligible Revenue.
  • "Qualified Client": A fully verified user who
    • registers through the Affiliate's unique Tracking Link;
    • successfully completes the purchase of a Challenge; and
    • has not been determined by the Platform Operator to be in breach of Section 4.5 of the Terms and Conditions.
  • "Tracking Link": A unique URL or referral code provided by the Company to the Affiliate, used to track and attribute client activity. Only activity recorded through this tracking system is eligible for commission.

2. MODIFICATION/CHANGES

2.1. RIGHT TO AMEND

We reserve the right to update, amend, or modify these Affiliate Terms at our sole discretion and at any time. Changes to these Affiliate Terms may be made to reflect updates in our business practices, regulatory requirements, or for any other legitimate reason deemed necessary by the Company.

2.2. NOTIFICATION OF CHANGES

When changes are made, we will provide notice by updating the "Last Updated" date at the top of these Affiliate Terms. For material changes that may significantly impact users' rights or obligations, the Company will endeavor to notify users through additional channels, such as email or in-platform notifications.

2.3. USER CONSENT TO CHANGES

By continuing to refer clients to the Platform and participating in the Program after the updated Affiliate Terms become effective, users agree to be bound by the revised Affiliate Terms. If a user does not agree with the changes, they must cease all participation in the Program.

2.4. AVAILABILITY OF TERMS

The most current version of these Affiliate Terms will always be available at the Platform. It is the responsibility of users to review these Affiliate Terms periodically to ensure they are aware of any modifications.

2.5. RETROACTIVE APPLICATION

Unless otherwise specified, any changes to these Affiliate Terms will not retroactively modify the parties' rights and obligations concerning prior use of the Platform. However, if retroactive application is required by law or regulatory authorities, the updated Affiliate Terms will be applicable accordingly.

2.6. LOCAL REGULATORY COMPLIANCE

Any modifications to these Affiliate Terms will comply with the regulatory requirements applicable to the Program and the Platform, as well as any international obligations relevant to the Company's operations.

3. PROGRAM ENROLLMENT

By enrolling in the Program, you further agree to actively promote the Platform in good faith and to refer prospective clients strictly through your assigned Tracking Link.

The Company reserves the right, at its discretion, to accept or reject any Affiliate application, or to terminate the participation of any Affiliate in accordance with Section 8 of these Affiliate Terms.

4. COMMISSION

4.1. COMMISSION STRUCTURE

Affiliates shall be eligible to receive Commission in accordance with this Section 4 in respect of activity generated by Qualified Clients.

The applicable commission percentage depends on the Affiliate's plan tier, as set forth below:

PlanRevenue share %
Bronze50%
Silver55%
Gold60%
Platinum65%
Diamond70%
Master75%
Legend80%

4.2. CALCULATION OF COMMISSION

Commission in respect of External Purchases is calculated by applying the applicable Revenue Share percentage under Section 4.1 to seventy-nine percent (79%) of Net Eligible Revenue. The remaining twenty-one percent (21%) represents deductions for payment processing fees (7%) and reserve and risk management fees (14%).

Net Eligible Revenue is determined based solely on the amount actually paid by the Qualified Client through an accepted external payment method in connection with the relevant External Purchase, after deduction of any applicable chargebacks, refunds, or similar payment adjustments. For the avoidance of doubt, any portion of an External Purchase satisfied through Cashback Balance does not constitute Net Eligible Revenue and is excluded from the calculation of Commission.

The Company reserves the right to update commission terms or plan tiers at any time with prior notice.

For the avoidance of doubt, Commission accrual does not guarantee payout eligibility. Payout eligibility is subject to the conditions set forth in Section 5, including but not limited to the requirement to refer at least five (5) Qualified Clients who have initiated trading activity on the Platform.

For the avoidance of doubt, where an Add-On is purchased as part of an External Purchase, the amount actually paid for such Add-On shall be included in Net Eligible Revenue and Commission shall be calculated at the Affiliate's applicable Revenue Share percentage under Section 4.1.

4.2.1. INTERNAL ADD-ON COMMISSION

Where a Qualified Client completes an Internal Add-On Purchase attributable to the relevant Affiliate through the Company's tracking system, the Affiliate shall be entitled to a Commission equal to ten percent (10%) of the amount actually paid by the Qualified Client for the relevant Add-On through an accepted payment method, after deduction of any applicable chargebacks, refunds, reversals, or similar payment adjustments.

The ten percent (10%) commission rate applicable to Internal Add-On Purchases is fixed and applies irrespective of the Affiliate's plan tier or Revenue Share percentage under Section 4.1.

For the avoidance of doubt, an Internal Add-On Purchase shall not form part of Net Eligible Revenue and the Revenue Share percentages set out in Section 4.1 shall not apply to such purchase.

An Internal Add-On Purchase shall be eligible for Commission only where it is completed while the relevant Challenge remains active and prior to a Challenge Completion Event.

Any Commission arising under this Section 4.2.1 shall remain subject to the verification, adjustment, clawback, Hold, and payout provisions of these Affiliate Terms.

4.2.2. PERFORMANCE COMMISSION

Affiliates may also be eligible to receive a Commission in respect of net profits generated on Live Accounts by Qualified Clients.

Where net profits generated by a Qualified Client attributable to the relevant Affiliate through the Tracking Link are determined and approved for payout in accordance with the Commercial Terms, the applicable Revenue Share percentage under Section 4.1 shall be applied solely to the portion of such net profits retained by the Company after deduction of the profit share allocated to the Qualified Client in accordance with the Commercial Terms.

For the avoidance of doubt, no Commission shall be calculated on or deducted from the portion of net profits allocated or payable to the Qualified Client.

Any Commission arising under this Section 4.2.2 shall remain subject to the applicable verification, adjustment, clawback, Hold, and payout provisions of these Affiliate Terms.

Any Performance Commission accrued under this Section 4.2.2 shall be displayed in the Affiliate Dashboard, together with its applicable status, as determined by the Company from time to time.

4.3. COMMISSION ADJUSTMENT AND CLAWBACK

The Company reserves the right to adjust, withhold, cancel, or reclaim ("clawback") any commission previously accrued, approved, or paid to the Affiliate where:

  • the referred User ceases to qualify as a Qualified Client or otherwise becomes ineligible for the relevant Commission, including as a result of:
    • an Outcome A Determination under Section 16 of the Terms and Conditions;
    • disqualification for Prohibited Hedging under Section 4.6 of the Terms and Conditions;
    • breach of the Single Live Account Rule under Section 9.2 of the Terms and Conditions; or
    • any other breach of the Terms and Conditions or applicable Challenge Plan Conditions that were applicable to the referred User at the relevant time;
  • the referred User's Account is placed on Hold under Section 16 of the Terms and Conditions, and the Hold has not been resolved with an Outcome B (Release) - in which case the commission associated with such User shall remain suspended until the Hold is resolved;
  • a chargeback, refund, or payment reversal is initiated by or on behalf of the referred User;
  • the net profit, profit allocation, or payout giving rise to a Commission under Section 4.2.2 is subsequently reversed, adjusted, cancelled, forfeited, or otherwise determined not to be payable;
  • the Company determines, following compliance review, that the commission was attributable to Fraudulent Traffic; or
  • the Affiliate is found to have knowingly or negligently referred Users who engage in Prohibited Trading Practices, coordinated hedging, multi-accounting, or identity fraud.

Where a clawback results in a negative commission balance, the Company may offset the negative balance against future commission accruals. If the Affiliate's account is terminated with an outstanding negative balance, the Affiliate shall be liable to repay the outstanding amount within thirty (30) calendar days of receiving a written demand from the Company.

The Affiliate acknowledges that the Company's right of clawback under this Clause survives termination of the Affiliate's participation in the Program and applies to commissions paid up to twelve (12) months prior to the date of the relevant determination.

The Company shall notify the Affiliate in writing of any clawback, specifying the reason and the amount. The Affiliate may dispute the clawback in writing within five (5) calendar days, and the Company shall review the dispute in accordance with Section 13.

4.4. COMMISSION SUSPENSION DURING HOLD

Where a referred User's Account is subject to a Hold under Section 16 of the Terms and Conditions, all commission accrual and processing in respect of that User shall be automatically suspended for the duration of the Hold.

Upon resolution of the Hold:

  • Outcome A (Confirmed Breach): All suspended commissions shall be permanently forfeited and the referred User shall cease to be a Qualified Client retrospectively from the date of the initial breach;
  • Outcome B (Release): Suspended commissions shall be released and become eligible for payout in the next available processing cycle, subject to all other payout conditions being met;
  • Outcome C (Inconclusive): Suspended commissions shall be released subject to the referred User's successful completion of any enhanced Re-Verification requirements. Where such Re-Verification remains incomplete, the affected commissions shall remain suspended pending completion of the applicable Re-Verification and any related procedure under Sections 6.5 and 16 of the Terms and Conditions. If the User's continued failure or refusal to complete Re-Verification subsequently results in an Outcome A (Confirmed Breach) determination, the affected commissions shall be forfeited in accordance with paragraph (i) above;

No interest, compensation, or financial return of any kind shall accrue on suspended commissions during the Hold period.

5. PAYMENT TERMS

5.1. PAYOUT CONDITIONS AND SCHEDULE

Affiliate payouts are subject to the following conditions:

  • The first payout becomes available only after the Affiliate has referred at least five (5) unique Qualified Clients who have initiated trading activity on the Platform.
  • The minimum payout amount is USD 100.
  • The maximum amount of a single payout request is USD 15,000.
  • Payout requests must be created and submitted by the Affiliate independently through the Affiliate's personal account (Affiliate Dashboard) on the Platform. The Affiliate is solely responsible for initiating each payout request and ensuring that all payment details provided in the Affiliate Dashboard are complete, accurate, and up to date.
  • Payout requests are typically processed within one (1) to four (4) business days from the date the payout request is submitted, depending on compliance checks, verification procedures, and operational workload.
  • A new payout request may be submitted once the previous payout request has been fully processed and completed.
  • Commission payouts shall be made only in respect of Qualified Clients as defined in Section 1.1. For the avoidance of doubt, the Company reserves the right to withhold, adjust, cancel, or reclaim any commission attributable to a referred User subsequently determined to be in breach of Section 4.5 or Section 4.6 of the Terms and Conditions, including without limitation any prohibited hedging, abusive trading activity, or other prohibited trading practices, in accordance with Section 4.3.

A payout request shall be considered accepted for processing only after the Affiliate has confirmed the accuracy of their payment details in their personal account and the Company has successfully completed all required verification and compliance procedures.

For the purposes of payout eligibility under this Section 5.1, only Qualified Clients who have initiated trading activity on the Platform shall be counted.

Automatic payouts within a fixed calendar period do not apply.

Where one or more of the Affiliate's referred Users are currently subject to a Hold and investigation under Section 16 of the Terms and Conditions, the commission attributable to such Users shall be suspended in accordance with Section 4.4 of these Affiliate Terms. In addition:

  • If the aggregate suspended commission (i.e., commission attributable to referred Users under Hold) equals or exceeds twenty percent (20%) of the total amount of the Affiliate's payout request, the entire payout request shall be deferred until the relevant Hold(s) have been resolved with an Outcome notification under Section 16.4 of the Terms and Conditions.
  • The twenty percent (20%) threshold reflects the Company's obligation to ensure that affiliate payouts are not processed where a material proportion of the underlying referred-User activity is subject to an active fraud, compliance, or AML/CTF investigation under Section 16 of the Terms and Conditions. Processing payouts in such circumstances could compromise the integrity of the investigation and expose the Company to regulatory risk.
  • If the aggregate suspended commission is less than twenty percent (20%) of the total payout request, the Company may, at its discretion, process the payout for the non-suspended portion while retaining the suspended commission pending resolution of the Hold.
  • Upon resolution of the Hold(s), suspended commissions shall be treated in accordance with Section 4.4 of these Affiliate Terms (released upon Outcome B; forfeited upon Outcome A; released subject to Re-Verification upon Outcome C).

The Company may, as a condition of processing any payout request, require the Affiliate to confirm in writing that:

  • the Affiliate is not aware of any coordinated hedging, multi-accounting, or identity fraud among the Users they have referred; and
  • the Affiliate has not directly or indirectly facilitated any Prohibited Trading Practice on the part of referred Users.

A knowingly false confirmation shall constitute wilful misconduct and grounds for immediate termination under Section 8.3.

5.2. PAYMENT METHOD

All payouts are processed exclusively in cryptocurrency, as determined by the Company.

5.3. VERIFICATION AND COMPLIANCE

All commission amounts shall remain subject to final verification and compliance review.

No Commission shall be disbursed until the Company has completed any required Affiliate verification and compliance review and, where applicable, has received or reviewed the relevant User compliance determination made by the Platform Operator under the Terms and Conditions.

The Company reserves the right to withhold, adjust, or cancel any commission for which the underlying client activity is suspected of fraud, abuse, or non-compliance.

All payouts are subject to submission and acceptance of a payout request in accordance with Section 5.1.

The Company's verification and compliance review under this Section may include, without limitation, cross-referencing the Affiliate's referred Users against information provided or made available by the Platform Operator regarding Prohibited Hedging determinations, Re-Verification outcomes, Hold and Outcome A determinations, Single Live Account Rule violations, and related User compliance matters, together with the Company's own Fraudulent Traffic assessments. Referred Users shall be assessed against the Terms and Challenge Plan Conditions applicable to their purchases in accordance with Section 2.5 of the Terms and Conditions. The introduction of new risk-management rules, evaluation criteria, Challenge Plan structures or disqualification grounds shall not, by itself, retroactively reclassify a referred User or affect Commission eligibility in respect of activity that occurred before such rules became applicable to that User, except where retroactive application is required by applicable law or a competent regulatory authority. Section 4.3 shall continue to apply to breaches of rules and Challenge Plan Conditions that were applicable to the referred User at the relevant time.

5.4. IMPORTANT CONDITIONS

Payouts are made exclusively to verified payment details.

The Company reserves the right to reject, suspend, or delay any payout request in case of discrepancies, compliance concerns, or the need for additional verification.

The previously applied automatic payout period (from the 1st to the 5th calendar day of each month) is no longer in effect as of May 1, 2026.

5.5. TAXES

All commissions and other amounts payable to the Affiliate under this Agreement are paid to the Affiliate in full, without deduction for any taxes, duties, or levies. The Affiliate is solely responsible for determining, declaring, and paying any income tax, value-added tax, or other tax, duty, or levy arising on amounts they receive under the Program, and for any related registration, reporting, and filing obligations, in each applicable jurisdiction. The Company does not act as a tax agent or withholding agent for the Affiliate and does not calculate, withhold, collect, declare, remit, or pay any tax for, on behalf of, or for the account of the Affiliate. Commissions are paid to the Affiliate in full, and the Affiliate is thereafter solely responsible for declaring and paying any tax due on the amounts received. In no event shall the Company pay, or be liable to pay, any tax for or on behalf of the Affiliate. Consistent with Clause 14.8 (Relationship of the Parties), the Affiliate acts as an independent contractor, and nothing in this Agreement creates an employment relationship for tax or any other purpose. The Company shall have no liability for the Affiliate's tax obligations or for any failure by the Affiliate to comply with them.

6. COMPLIANCE AND VERIFICATION REQUIREMENTS

Affiliates must provide complete, accurate, and up-to-date information and documentation as may be reasonably requested by the Company. Failure to do so may lead to account suspension or removal from the Program.

Only bona fide client activity - in which the client has been fully verified - shall qualify for commission. Any use of spam tactics, fabricated accounts, deceptive advertising, incentivized traffic without proper disclosure, or any other manipulative or misleading methods is strictly prohibited.

The Company reserves the right to review client registrations and transactions for the purposes of administering the Program and may rely on information and compliance determinations provided by the Platform Operator under the Terms and Conditions. Should the Company determine that Affiliate activity is fraudulent, non-compliant, or otherwise disqualifying, the Company may, without liability:

  • withhold or revoke the associated commission; and/or
  • terminate the Affiliate's participation in the Program.

The Affiliate shall not knowingly or negligently refer to the Platform any individual that:

  • the Affiliate knows or has reasonable grounds to suspect is using a false, synthetic, stolen, or borrowed identity;
  • is a Related Person of the Affiliate (unless explicitly disclosed to the Company in writing prior to registration);
  • the Affiliate knows or has reasonable grounds to suspect intends to engage in Prohibited Trading Practices, Prohibited Hedging, or any other activity prohibited under the Terms and Conditions;
  • the Affiliate knows or has reasonable grounds to suspect will create multiple Accounts in violation of the Single Account Policy under Section 11.1 of the Terms and Conditions or the Single Live Account Rule under Section 9.2 of the Terms and Conditions; or
  • the Affiliate knows or has reasonable grounds to suspect is acting as part of a coordinated group of traders whose purpose is to exploit evaluation parameters, hedging restrictions, or risk management rules.

Any breach of this provision shall be treated as wilful misconduct and shall entitle the Company to immediate termination under Section 8.3, forfeiture of all unpaid commissions, and clawback of previously paid commissions in accordance with Section 4.3.

7. ADVERTISING RULES

7.1. MARKETING MATERIALS

All marketing materials created or used by Affiliates must be truthful, not misleading, and must accurately represent the nature of the Platform's services.

Affiliates shall not use any promotional copy, creative assets, or other materials that have not been expressly approved by the Company. Any use of the Hash Hedge brand name, logo, trademarks, domain names, or other intellectual property shall additionally be subject to prior written approval by the Platform Operator. When requested, Affiliates must promptly submit marketing materials for review or approval.

7.2. DISCLAIMERS

Affiliates must include all required disclaimers in a clear and noticeable manner, including but not limited to: "Evaluation Stages are conducted in a simulated trading environment. Successful completion of the applicable Evaluation Stages may make a User eligible for access to a Live Account for proprietary trading. Past or simulated performance does not guarantee future results. The Services do not constitute financial or investment advice."

7.3. PROHIBITED ACTIVITIES

The following activities are expressly prohibited and may result in immediate termination of Affiliate status:

  • Dissemination of false claims or exaggerated promises regarding potential earnings.
  • Use of spam tactics, unsolicited bulk emails, or unsolicited social media posts.
  • Promotion of the Platform to persons under the age of majority in the relevant jurisdiction.
  • Placement of advertisements on websites or platforms associated with illegal, unethical, or otherwise inappropriate content (e.g., adult content, illicit services).
  • Using the Hash Hedge brand name, logo, trademarks, or domain names — including variations, misspellings, or misleading derivatives — as part of their own branding, identity, or website domain, without prior written approval from the Platform Operator.
  • Targeting jurisdictions or individuals where the Platform's services are restricted or prohibited.
  • Engaging in any activity that may harm the reputation of the Company, the Platform Operator, or the Hash Hedge Platform, or mislead potential clients regarding the nature of the service.
  • Purchasing or directing branded traffic to the Platform via paid advertising campaigns (including but not limited to Google Ads, social media ads, and similar channels) using the Hash Hedge brand name, logo, trademarks, or any variations/misspellings, without prior written approval from the Platform Operator.
  • Making any representations or promises regarding the ease of passing Challenges, guaranteed outcomes, or strategies to circumvent evaluation criteria, including but not limited to promoting "hedging strategies," "guaranteed pass" methods, or coordinated trading approaches.
  • Promoting the Platform's services in a manner that encourages or facilitates the creation of multiple Accounts, the use of false identities, or the circumvention of the Single Live Account Rule.
  • Sharing, distributing, or promoting trading signals, strategies, or coordination mechanisms designed to enable cross-account or cross-user hedging among referred Users.

8. TERM AND TERMINATION

8.1. TERM

These Affiliate Terms shall remain in full force and effect until terminated in accordance with this Section 8.

8.2. TERMINATION

Either the Company or the Affiliate may terminate this Agreement at any time by providing at least three (3) calendar days' written notice to the other party. No reason is required for such termination.

8.3. TERMINATION BY THE COMPANY

The Company reserves the right to immediately suspend or terminate an Affiliate's participation without prior notice in the event of any breach of these Terms or applicable law, including but not limited to:

  • Attempted or actual fraud.
  • Violation of advertising rules.
  • Misuse of Tracking Links or other Program resources.
  • Misuse of the Platform in breach of Section 12.2 of the Terms and Conditions, including any unauthorized access to, interference with, or exploitation of the Platform, its systems, security measures, or technical components.
  • Recruitment of Users subsequently determined to constitute Fraudulent Traffic under the expanded definition in Section 1.1, including Users engaged in Prohibited Hedging, identity fraud, or coordinated multi-accounting.
  • Failure or refusal by the Affiliate to cooperate with a Company investigation into Referred User activity, including failure to provide information or documentation reasonably requested by the Company.
  • A determination by the Company, acting reasonably, that the Affiliate is a Related Person of one or more Referred Users and has failed to disclose that relationship.
  • Knowingly providing false or misleading information regarding the Affiliate's awareness of fraud or Prohibited Practices among Referred Users.

8.4. CONSEQUENCES OF TERMINATION

Upon termination of these Affiliate Terms:

  • The Affiliate shall no longer be entitled to accrue any new Commission in respect of client activity occurring after the effective date of termination.
  • Any pending commissions associated with client activity under review, disputes, or non-compliance at the time of termination shall be forfeited.
  • All rights granted herein shall immediately cease, and the Affiliate shall remove or disable all promotional materials referencing the Platform.
  • Upon termination, the Company's right to clawback previously paid commissions under Section 4.3 shall survive and remain enforceable.
  • Where termination results from Fraudulent Traffic, wilful misconduct, or a breach involving Prohibited Hedging, identity fraud, or multi-accounting, the Company reserves the right to:
    • report the Affiliate's activity to relevant authorities where required by law;
    • pursue legal remedies for damages suffered; and
    • share information regarding the Affiliate with industry anti-fraud databases or networks, to the extent permitted by applicable data protection laws.

9. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in and to the Platform, its content, and the Services provided through it remain with the Platform Operator or the applicable licensors. The Company administers the Affiliate Program and may make available for promotional use materials approved by the Platform Operator for the purposes of the Program.

Affiliates shall not, under any circumstances, use the Hash Hedge or Platform Operator trademarks, service marks, trade dress, logos, domain names, or any confusingly similar variations thereof - whether commercialized, altered, or misspelled - in their own branding, domain registration, or marketing materials without the Platform Operator's prior written consent.

Any breach of these restrictions will constitute grounds for immediate termination of the Affiliate's account and forfeiture of all unpaid commissions.

10. FORCE MAJEURE

We shall not be liable for any failure or delay in performing our obligations under these Affiliate Terms caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, war, pandemics, labor disputes, or utility failures ("Force Majeure Event").

If a Force Majeure Event occurs:

  • The affected party shall promptly notify the other party and provide relevant details.
  • Obligations will be suspended for the duration of the event.
  • Either party may terminate these Affiliate Terms if the Force Majeure Event continues for more than thirty (30) calendar days. Any Commission validly accrued prior to termination shall remain subject to the applicable eligibility, adjustment, clawback, and payout provisions of these Affiliate Terms.

This provision does not apply to obligations arising from negligence or wilful misconduct.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Participation in the Program: Any violation of these Affiliate Terms or applicable laws while participating in the Program.
  • Violation of Third-Party Rights: Any claim made by a third party arising from your infringement of intellectual property, privacy, or other rights.
  • Breach of Representations: Your breach of any representations, warranties, or obligations outlined in these Affiliate Terms.
  • Data or Content Provided: The inaccuracy or illegality of data, content, or materials you submit, post, or share.
  • Prohibited Conduct: Engaging in prohibited activities, as defined in Clause 7.3, resulting in claims or damages.

We reserve the right to assume exclusive control over the defense and settlement of any matter subject to indemnification under this section. You agree to cooperate fully with us in asserting any available defenses and will not settle any claim without prior written consent from us.

12. DATA PRIVACY AND CONFIDENTIALITY

Affiliates shall comply with all applicable data protection and privacy laws when collecting, storing, processing, or transmitting any personal data in connection with their participation in the Program.

The Company may collect, process, and store the Affiliate's personal information for the purposes of administering the Program, meeting legal or regulatory obligations, and managing the business relationship. Such information may be shared with the Platform Operator where necessary for referral attribution, User compliance review, Commission calculation, Hold and investigation procedures, fraud prevention, or clawback enforcement, and may also be disclosed to regulators, auditors, payment processors, or other authorized third parties as required by law or contractual obligation.

By participating in the Program, the Affiliate hereby consents to the collection and use of their data in accordance with the Privacy Policy, as may be updated from time to time.

The Affiliate acknowledges and agrees that the Company may:

  • cross-reference the Affiliate's personal data and account information with the data of referred Users to identify potential Related Person relationships, coordinated activity, or conflicts of interest;
  • share the Affiliate's data with relevant service providers, forensic or compliance advisors, or competent authorities where necessary for the purposes of investigating Prohibited Hedging, Fraudulent Traffic, multi-accounting, or other suspected breaches, in accordance with the Privacy Policy; and
  • retain the Affiliate's data for the purposes of clawback enforcement and dispute resolution for a period of five (5) years following termination of the Affiliate's participation in the Program.

13. DISPUTE RESOLUTION

13.1. NEGOTIATION

In the event of a dispute arising out of or in connection with these Affiliate Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation. Any dispute arising under or in connection with these Affiliate Terms must be submitted in writing to the Company within five (5) calendar days from the date the issue arose.

The Company shall review the dispute and issue a written response within ten (10) business days of receipt.

Where the dispute arises out of, relates to, or is connected with a commission suspension during a Hold, or any other action taken by the Company in reliance on an investigation conducted by the Platform Operator under Section 16 of the Terms and Conditions or under the commission adjustment provisions of these Affiliate Terms, the five (5) calendar day period for submission of written disputes under this Clause 13.1 shall not commence until:

  • the Company has issued a final written determination regarding the adjustment, where applicable; and
