These Commercial Terms govern the commercial reward and payout rights and obligations applicable at the Live Account stage of the services provided under the Hash Hedge brand ("Hash Hedge", "we", "our" or "us"). Hash Hedge is used in these Commercial Terms as the brand name for the services and is not intended to identify a separate legal entity. The legal entity responsible for the commercial reward and payout obligations under these Commercial Terms, together with the role of the Hash Hedge Platform Operator, is set out in Section 8. References to the "Company" in these Commercial Terms have the meaning given in Section 8.
For the purposes of these Commercial Terms, any capitalised terms used herein shall have the meanings given in the Terms and Conditions. If there is any inconsistency between these Commercial Terms and the Terms and Conditions, the Terms and Conditions shall prevail unless expressly stated otherwise. Any plan-specific quantitative parameters expressly disclosed in the Challenge Plan Conditions accepted by the User at the time of purchase shall apply to that purchase in accordance with their stated scope. In the event of any inconsistency concerning such parameters, the applicable Challenge Plan Conditions shall prevail.
By accepting these Commercial Terms, you acknowledge that you have read, understood, and agreed to be bound by these Commercial Terms.
The Company may update or amend these Commercial Terms from time to time. The most current version will be made available on the Platform, and Users are encouraged to review it periodically to remain informed of any changes. For material changes that may significantly impact Users' rights or obligations, the Company will endeavor to notify Users through additional channels, such as email or in-platform notifications. Changes affecting an existing purchase are subject to Section 2.5 of the Terms and Conditions.
Rewards are calculated by reference to net profits generated on the Live Account as follows:
Unless a different reward allocation ratio is expressly specified in the applicable Challenge Plan Conditions or applies pursuant to an Add-On under Section 7, eighty percent (80%) of the net profits generated on the Live Account shall be payable to the User by the Company in accordance with these Commercial Terms, subject to the successful completion of a trading cycle as defined in Section 3.
The Challenge Plan Conditions disclosed before purchase specify the plan-specific parameters applicable to the selected Challenge Plan and to the relevant Evaluation Stage or Account, as applicable. Where such parameters are relevant to reward calculation or payout eligibility under these Commercial Terms, they shall apply in accordance with their stated scope, including, where applicable, the reward allocation ratio, deductions and adjustments, the treatment of open positions and unrealised results, and the calculation of daily loss and overall drawdown, including the applicable reset time and time zone.
Net profit is calculated as the positive amount, if any, by which the closing Live Account balance exceeds the initial Live Account balance at the start of the trading cycle, after applicable deductions are made.
This payout is only processed once all payout eligibility conditions are met and no disqualifying events have occurred during the cycle.
The User may request a payout through the User Dashboard, subject to the applicable minimum and maximum payout limits.
Unless a different allocation ratio applies under Section 1.1, twenty percent (20%) of the net profits generated on the Live Account shall be retained by the Company as compensation for providing access to the Live Account, operational support, risk-management systems and ongoing program administration.
We retain the right to amend this ratio for future purchases. Any such amendment shall not affect an existing purchase unless expressly agreed with the User or required by applicable law or a competent regulatory authority.
The applicable allocation ratio may differ where expressly specified in the Challenge Plan Conditions or may be modified by an Add-On purchased by the User. Where a different ratio is displayed to and accepted by the User as part of the Challenge Plan Conditions or at the time of purchase of an applicable Add-On, that ratio shall apply for the purposes of allocation under these Commercial Terms in accordance with this Section 1 and Section 7.
The progression toward becoming eligible for reward payouts is governed by the Challenge Plan Conditions accepted by the User at the time of purchase and the applicable requirements of the Terms and Conditions:
No reward becomes payable unless the applicable eligibility, Evaluation Stage and identity or compliance verification requirements have been satisfied. A positive result achieved during an Evaluation Stage does not, by itself, create a payment entitlement.
Reward payouts are available only upon the successful completion of an eligible profitable trading cycle. Subject to any suspension, tolling or extension applicable under the Terms and Conditions, including in connection with a Hold, the trading cycle shall end on the payout day selected by the User, which may fall between fourteen (14) and sixty (60) calendar days from the opening of the first trade in that trading cycle.
Payouts are only available on or after the selected payout day on the Live Account.
If the cycle ends in profit, the applicable User reward allocation under Section 1 is payable to the User by the Company as a reward, and the remaining portion is treated as the Company's share for calculation purposes.
If the cycle ends without profit but the applicable maximum drawdown threshold, as set out in the Challenge Plan Conditions accepted by the User at the time of purchase, has not been exceeded, no payout is available in respect of that trading cycle.
The minimum payout amount is USD 100, and the maximum payout amount per fourteen (14) calendar day period is USD 10,000. All payouts are made to the User in full. The User is solely responsible for any taxes arising on payouts; the Company does not pay any tax for or on behalf of the User.
The Company may, as a condition of processing any payout request, require the User to successfully complete enhanced identity Re-Verification administered by the Platform Operator in accordance with Section 6.5 of the Terms and Conditions. No payout shall be processed until the applicable Re-Verification requirement has been satisfied. Failure to complete Re-Verification within the required timeframe may result in suspension or closure of the payout request in accordance with Section 6.5 of the Terms and Conditions. Closing the payout request shall not, by itself, extinguish any accrued payment entitlement.
Payout processing guarantee (72 hours).
Where the User has submitted a valid and complete payout request in respect of an eligible profitable trading cycle, and that request is not processed and paid within seventy-two (72) hours of its submission, the User shall be entitled to receive an amount equal to three (3) times the payout to which the User was otherwise entitled in respect of that request, in full and final satisfaction of any claim arising from the delay. The additional amount payable under this guarantee shall not count towards the maximum payout amount specified above.
This guarantee applies only to payout requests that are valid, complete, and not subject to any Hold, investigation, Re-Verification or enhanced identity verification requirement, or other suspension or cancellation under the Terms and Conditions or these Commercial Terms. Where any such Hold, investigation, Re-Verification, enhanced identity verification requirement, or other suspension or cancellation applies at the time of submission of the payout request, this guarantee shall not apply to that request. Where any such event arises after submission, the running of the seventy-two (72) hour period shall cease, and a fresh seventy-two (72) hour period shall commence in full from the date on which the payout request again becomes valid, complete, and free of any such requirement or suspension. For the avoidance of doubt, where processing is delayed for reasons outside the reasonable control of the Company (including Force Majeure Events, banking or payment-network processing times, or the User's provision of incorrect, incomplete, or unverified payout details), the running of the seventy-two (72) hour period shall likewise cease, and a fresh seventy-two (72) hour period shall commence only once such circumstances have ceased and the payout request is again valid and complete.
This guarantee is a contractual payment obligation of the Company, is agreed by the parties to be a genuine pre-estimate of loss and not a penalty, and shall not be excluded or reduced by the limitation of liability in Clause 14.3 of the Terms and Conditions or by the disclaimers and warranty exclusions in Section 18 of the Terms and Conditions.
For the avoidance of doubt, where a payout request does not pass any applicable AML or compliance verification in connection with the User's payout details, the running of the seventy-two (72) hour period shall cease. No seventy-two (72) hour period shall run while the User has not provided new or corrected payout details requested for verification. Once the User provides such new or corrected payout details for verification, a fresh seventy-two (72) hour period shall commence in full from the time such details are provided.
The disqualification conditions set out in this Section 4 are established to protect the integrity of the evaluation and compliance framework administered by the Platform Operator. These conditions are an integral part of the Terms and Conditions governing the Services (in particular, Sections 4.5, 4.6, 6.5, 7.4, 9.2, 9.3, and 16 thereof) and may be relied upon by the Company for the purposes of determining reward and payout eligibility under these Commercial Terms.
The following conditions are monitored automatically by the Platform. Upon the occurrence of any of the events listed below, the User's relevant Account shall be immediately disqualified, without prior investigation and notwithstanding Section 16 of the Terms and Conditions. The applicable quantitative thresholds are those specified for the relevant Evaluation Stage or Account in the Challenge Plan Conditions accepted by the User at the time of purchase, subject to any applicable Add-On terms:
Automatic disqualification under this Clause 4.1 is triggered by objective, quantitative parameters and does not require human review prior to execution. The User may appeal an automatic disqualification in accordance with Section 7.11 of the Terms and Conditions if the User believes the disqualification resulted from a technical error.
An applicable quantitative trigger under this Clause 4.1 may be modified by an applicable Add-On purchased by the User only to the extent expressly stated in the applicable Add-On terms. Where an Add-On modifies the consequences of reaching a threshold, the functionality and conditions of that Add-On as displayed to and accepted by the User at the time of purchase shall apply. Except to that extent, the thresholds specified in the applicable Challenge Plan Conditions remain in full force.
The following conditions require assessment by the Platform Operator and shall be resolved through the investigation procedure set out in Section 16 of the Terms and Conditions. Disqualification under this Clause 4.2 shall occur only following an Outcome A (Confirmed Breach) determination:
For the avoidance of doubt, during the investigation process the User's Account and/or payouts may be subject to a Hold in accordance with Section 6 of these Commercial Terms. Disqualification under this Clause 4.2 shall take effect upon the issuance of an Outcome A notification, and not before.
The following conditions may result in disqualification without a full investigation under Section 16 of the Terms and Conditions, but shall require prior written notice to the User:
Failure to activate an Account for more than thirty (30) days, as provided in Clause 15.3 of the Terms and Conditions, may result in administrative disqualification without a full investigation under Section 16, subject to prior written notice to the User.
Regardless of the category of disqualification (Clauses 4.1, 4.2, or 4.3), upon disqualification the User shall lose access to the relevant Account(s), including any Live Account, and forfeit any pending payouts attributable to or affected by the relevant disqualification, subject to the applicable Outcome notification issued by the Platform Operator or any successful appeal under the Terms and Conditions.
Challenge and Add-On fees, refunds and related purchase matters are governed by the Terms and Conditions and administered by the Platform Operator. The Company does not collect Challenge fees and is not responsible for processing refunds of Challenge or Add-On purchases.
Cashback Balance is issued and administered by the Platform Operator in accordance with Section 10.8 of the Terms and Conditions and does not constitute an amount payable by the Company under these Commercial Terms.
6.1.
Where the Platform Operator imposes a Hold affecting a User's Live Account and/or pending payout request in accordance with Section 16 of the Terms and Conditions, the Company may suspend processing of the corresponding payout for the duration of that Hold.
6.2.
During any Hold period:
The User acknowledges that a Hold is a standard security and risk-management procedure.
6.3.
The resolution of a Hold shall follow the procedure administered by the Platform Operator under Section 16 of the Terms and Conditions. The Company may rely on the applicable Outcome notification for the purposes of payout eligibility under these Commercial Terms. Where the Hold results in Outcome A, affected pending payouts shall be forfeited. Where the Hold results in Outcome B or Outcome C, payouts shall be processed in accordance with Section 3 of these Commercial Terms, subject to any additional verification requirements.
6.4.
The Company shall not be liable for any changes in trading results, missed trading opportunities, market movements, or any other damages or losses arising from or in connection with a Hold period, except to the extent such liability cannot lawfully be excluded.
6.5.
Any dispute regarding the imposition of a Hold, the investigation process, or its Outcome shall be governed by the Terms and Conditions between the User and the Platform Operator, including the mandatory exhaustion and tolling provisions set out in Section 15.7 of the Terms and Conditions. The Company may rely on that Outcome for the purposes of these Commercial Terms. Any dispute regarding the Company's application of that Outcome to a reward or payout shall be governed by these Commercial Terms, provided that, subject to the exceptions under Clause 15.7(f) of the Terms and Conditions, no such claim may be submitted to arbitration or judicial proceedings until the Hold procedure has been completed or the Backstop Period (ninety (90) calendar days) has expired, whichever occurs first.
6.6.
The User acknowledges that the Hold and investigation process described in this Section 6 involves the collection, processing, and potential sharing of personal data, including but not limited to:
Full details of the categories of personal data processed, the legal bases for processing, the recipients, and the User's data protection rights are set out in the Privacy Policy. In the event of any inconsistency between this Section 6.6 and the Privacy Policy, the Privacy Policy shall prevail.
The Platform Operator may, from time to time, make one or more Add-Ons available in connection with a Challenge or Account.
Add-Ons may be offered for purchase either:
Unless expressly stated otherwise by the Platform Operator, no Add-On may be purchased or activated in respect of a Challenge following a Challenge Completion Event.
The availability, price, functionality, effect, eligibility requirements, scope, applicable Challenge, Account or stage(s), limitations, duration, activation conditions, and any other terms applicable to a particular Add-On shall be displayed to the User on the Platform before the relevant purchase is completed.
By purchasing an Add-On, the User confirms that they have reviewed and accepted the terms applicable to that Add-On as displayed on the Platform at the time of purchase.
Each Add-On shall apply only in accordance with the functionality, scope, conditions, and other parameters displayed to the User on the Platform at the time of purchase.
Unless expressly stated otherwise in the applicable Add-On terms, the functionality and effect of an Add-On shall continue only for so long as the Challenge in connection with which it was purchased remains active and shall cease upon the applicable Challenge Completion Event.
Unless expressly stated otherwise at the time of purchase, an Add-On shall apply only to the Challenge, Account, stage, or other part of the Services in connection with which it was purchased and shall not be transferable between Challenges, Accounts, or Users.
The fee payable for an Add-On is separate from the applicable Challenge fee and shall be the amount displayed to the User on the Platform at the time of purchase.
Except as expressly stated otherwise on the Platform at the time of purchase, in the Terms and Conditions, or as required by applicable law, all fees paid for Add-Ons are non-refundable.
The Platform Operator may, from time to time, introduce, modify, suspend, withdraw, or otherwise change any Add-On, including its availability, functionality, pricing, eligibility requirements, scope, limitations, and other parameters, for future purchases.
The introduction, modification, suspension, or withdrawal of an Add-On shall not affect the terms applicable to an Add-On already purchased, unless otherwise expressly disclosed to and accepted by the User or required by applicable law.
An Add-On may modify the application of a particular rule, parameter, feature, or condition of the Services only to the extent expressly specified to the User on the Platform at the time of purchase. Except to that extent, all other provisions of the Terms and Conditions and these Commercial Terms shall continue to apply in full.
No Add-On shall permit, excuse, or protect against Prohibited Hedging, any other Prohibited Trading Practice, fraud, abuse of the Platform, or any other breach of the Terms and Conditions, unless expressly provided otherwise in the applicable Terms and Conditions.
Any fee paid for an Add-On is separate from the applicable Challenge fee and shall be treated as such for the purposes of any calculation based on the Challenge fee.
